Protecting Executives When It Counts

5 Reasons to Choose Grey Ocean as Your
Executive Employment Lawyer in San Diego, CA

When your career, compensation, and equity are on the line, the lawyer you choose matters. If you are searching for an executive employment lawyer in San Diego, CA, here are five reasons Grey Ocean stands apart.

1. We Have Drafted These Agreements From the Other Side

Before founding Grey Ocean, Mike Flesuras spent years at a prestigious corporate law firm, drafting employment agreements, executive compensation contracts, and separation terms on behalf of companies. When we review your agreement, we can identify what the company intended, where the language is vague, and which provisions are likely to be enforced. We are not guessing at the other side’s strategy because we have spent years working from it.

2. Recognized for Client Service

Grey Ocean was featured in the Chambers USA California Spotlight Guide 2026 for Labor & Employment, a distinction based on independent research into client service and legal ability. That recognition reflects the quality of counsel our clients receive.

3. Direct Access to Experienced Counsel

Grey Ocean is a boutique law firm. Clients receive direct access to experienced attorneys who understand the details of their matter, prompt responses when deadlines approach, and advice informed by the full picture rather than a summary passed through intermediaries. Whether you are evaluating an offer under a deadline or negotiating an exit, that level of attention makes a measurable difference.

4. Deep Knowledge of California Employment Law

California employment law provides extensive protections for employees, and the legal landscape changes frequently. Non-compete agreements are generally unenforceable in California, subject to limited statutory exceptions. Severance, equity, and wage rules all operate differently here than in other states. As a boutique California employment law practice, we work with these laws every day and understand how to apply them to your advantage in a negotiation.

5. A Modern Model Built Around You, Not Billable Hours

Grey Ocean was designed around how executives and growing companies operate. Engagements come with clear scopes and flexible structures, including fractional employment counsel and custom advisory arrangements matched to your situation. You receive sophisticated counsel without the overhead and unpredictable invoices that often accompany a traditional firm structure.

The Right Counsel Changes the Outcome

Executive employment matters move quickly, and the terms you agree to now can follow you for years. A well-negotiated agreement, a stronger severance package, or a favorable resolution of a restrictive covenant issue is often worth far more than the cost of obtaining advice. Grey Ocean brings Big Law experience, California-specific knowledge, and a modern client experience to every engagement. If you are an executive, founder, or growing company facing an employment decision, contact Grey Ocean today to discuss how we can help.

Answers to Your

Frequently Asked Questions

  • Yes. Executive employment agreements contain terms that materially affect your compensation, equity, and future career mobility, including severance triggers, termination definitions, restrictive covenants, and bonus conditions. Many of these terms are negotiable before you sign but difficult to change afterward. An executive employment lawyer can identify unfavorable provisions, benchmark your package against market standards, and negotiate improvements.

  • In most cases, yes. Severance offers are rarely final, and employers often expect negotiation, particularly at the executive level. Key negotiable terms include the severance amount, equity vesting acceleration, bonus payouts, benefits continuation, the scope of your release, and non-disparagement language. You typically have 21 or 45 days to review an agreement under federal law if you’re over 40. You should never sign a separation agreement before understanding what claims you’re giving up.

  • A complete executive compensation package typically includes base salary, an annual bonus or incentive plan, equity compensation such as stock options or RSUs, severance protection, and benefits. Depending on the company and role, it may also include a signing bonus, relocation support, change-in-control protections, and deferred compensation. The structure matters as much as the numbers. How your bonus is calculated, when equity vests, and what happens at termination all determine what you actually take home.

  • Stock options give you the right to buy company shares at a set price, so they only have value if the stock price rises above that price. RSUs are grants of actual shares that vest over time and hold value as long as the stock is worth anything. Options offer more upside at early-stage companies but carry more risk. RSUs are more common at mature companies. Each carries different tax consequences, which is why understanding the details of your grant agreement is critical.

  • No. California law voids nearly all non-compete agreements, and recent legislation strengthened these protections. Employers cannot enforce non-competes against California employees and can face liability for even attempting to. Narrow exceptions exist for the sale of a business or dissolution of a partnership. But employers still use other tools, like non-solicitation clauses, confidentiality agreements, and trade secret claims, to restrict departing executives.
